Merchant Terms & Conditions

1. Introduction

Welcome to BoxRun, an online ordering platform operated by Foodbell Portal. These Terms and Conditions ("Terms") govern your use of the BoxRun platform as a merchant. By registering as a merchant on BoxRun, you agree to be bound by these Terms.

BoxRun is a service provided by Foodbell Portal. By using our platform, you acknowledge that you have read, understood, and agree to comply with all terms and conditions set forth herein.

2. Merchant Responsibilities

As a merchant using the BoxRun platform, you are responsible for:

• Maintaining accurate and up-to-date store information, including opening hours, contact details, and product listings
• Ensuring the quality and safety of all products sold through the platform
• Complying with all applicable laws and regulations, including but not limited to food safety regulations and consumer protection laws
• Processing orders in a timely manner and maintaining adequate inventory
• Providing accurate product descriptions, images, and pricing information
• Handling customer inquiries and complaints professionally and promptly

3. Limitation of Liability

BoxRun and Foodbell Portal are not responsible for any complaints, disputes, or issues arising from:

• Store opening hours, closure, or operational status
• Product quality, freshness, or condition
• Damaged, defective, or incorrect products
• Late deliveries or delivery failures
• Customer dissatisfaction with products or services
• Any disputes between merchants and customers
• Technical issues or errors in order processing
• Payment processing issues or disputes

Merchants are solely responsible for resolving all customer complaints and disputes directly with their customers. BoxRun acts solely as a platform facilitator and does not assume any liability for merchant-customer relationships or transactions.

4. Prohibited Items and Activities

Merchants are strictly prohibited from selling or listing any items that are illegal under the laws of the United Arab Emirates (UAE). This includes, but is not limited to:

• Controlled substances, drugs, or narcotics (except as legally permitted)
• Alcohol and alcoholic beverages (unless properly licensed)
• Tobacco products (unless properly licensed)
• Weapons, firearms, or ammunition
• Counterfeit or pirated goods
• Stolen goods or items obtained illegally
• Any items that violate UAE customs, import/export regulations, or Sharia law
• Products that are expired, recalled, or unsafe for consumption

Violation of this provision will result in immediate termination of your merchant account and may result in legal action.

5. Account Termination

BoxRun reserves the right to cancel, suspend, or terminate your subscription and store account at any time, without prior notice, for any reason including but not limited to:

• Violation of these Terms and Conditions
• Violation of applicable laws or regulations
• Selling prohibited items
• Fraudulent or deceptive business practices
• Repeated customer complaints or poor service quality
• Non-payment of fees or charges
• Inactivity or abandonment of the account
• Any activity that may harm BoxRun's reputation or business

Upon termination, you will lose access to your merchant account, and all pending orders may be cancelled. BoxRun is not liable for any losses or damages resulting from account termination.

6. Fees and Payments

BoxRun may charge fees for the use of its platform. All fees are subject to change at BoxRun's discretion. Merchants are responsible for:

• Paying all applicable fees on time
• Maintaining valid payment methods on file
• Understanding the fee structure and any changes to it

Failure to pay fees may result in suspension or termination of your account.

7. Intellectual Property

All content on the BoxRun platform, including but not limited to logos, designs, text, graphics, and software, is the property of BoxRun and Foodbell Portal and is protected by intellectual property laws.

Merchants grant BoxRun a non-exclusive, worldwide, royalty-free license to use, display, and distribute merchant content (including product images and descriptions) for the purpose of operating the platform.

8. Data and Privacy

BoxRun collects and processes merchant data in accordance with our Privacy Policy. By using the platform, you consent to the collection, use, and processing of your data as described in our Privacy Policy.

Merchants are responsible for protecting customer data and must comply with all applicable data protection laws, including UAE data protection regulations.

9. Indemnification

Merchants agree to indemnify, defend, and hold harmless BoxRun, Foodbell Portal, and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the BoxRun platform
• Your violation of these Terms and Conditions
• Your violation of any applicable laws or regulations
• Any products or services you sell through the platform
• Any disputes between you and your customers

10. Modifications to Terms

BoxRun reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on the platform. Your continued use of the platform after changes are posted constitutes your acceptance of the modified Terms.

It is your responsibility to review these Terms periodically to stay informed of any updates.

11. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates.
